BY-LAWS of the
Benton County Republican Women
Revised 2-2010/Adopted
4-26-2010
Article I.
Name.
The name of the
organization
shall be the Benton County Republican Women (BCRW)
Article II. Objectives.
To
promote an informed public through political education and activity.
To
increase the effectiveness of women in the cause of good government.
To
facilitate cooperation among the district, state and national federation
of
Republican Women and Republican Women’s Clubs.
To
foster loyalty to the Republican Party and to promote its principles and
candidates in all elections, including Republicans in non-partisan
elections.
To
support the objectives and policies of the Republican National Committee
and
the Oregon Republican State Central Committee and to work for the
election of
the Republican Party nominees.
Article III. Membership.
Section 1.
Membership
is open to all Republican women and men regardless of race, color, creed
or
ethnic background as long as, they comply with the responsibilities of
membership,
believe in the principals of the Republican Party and intend to support
its
candidates.
Section 2.
Republican
women who have a primary membership in BCRW can also be eligible for
associate
memberships in any clubs in OFRW upon payment of appropriate annual
dues.
Associate members may attend all meetings but at those meeting they my
not make
motions, vote, be on committees, hold office or be counted for the
purpose of
determining the number of delegates to NFRW or OFRW meetings and
conventions. As associate members, they are not
members of OFRW or NFRW.
Section 3.
Republican
men are eligible for associate membership only upon payment of the
required
annual dues. They may attend meetings but cannot make motions, have a
voice or
vote, be on committees, hold office, or be counted for the purpose of
determining the number of delegates to NFRW or OFRW meetings and
conventions.
As associate members, they do not become members of OFRW or NFRW.
Article IV. Dues and Fees.
Section 1.
The
fiscal year of the club will be January 1 to December 31.
Dues
and fees are payable in January and delinquent in March of any fiscal
year.
Dues
and fees shall be $30.00 a year for members and $25.00 for associates.
Article V. Officers.
Section 1.
The
officers of BCRW shall be President, First Vice-President, Second
Vice-President, Recording Secretary, Corresponding Secretary, Treasurer
and
immediate Past President. Two members can co-chair one office if
advisable and
elected.
Section 2.
Each
officer of BCRW shall be a member in good standing. The officers shall
be
elected biennially. Club officers shall serve their terms based on the
calendar
year, January-December 31.
Section 3.
In
the event of a vacancy in an elective office, the said vacancy shall be
filled
by recommendation of the executive Committee. Notice of such vacancy
will be
given to the general membership before the next meeting.
Section 4.
Any
Office in BCRW shall be considered vacated if the officer is absent four
consecutive executive meetings without an acceptable excuse.
Section 5.
Term
of office shall be two years. Maximum consecutive service in the same
office is
two terms.
Article VI.
Duties of BCRW Officers.
Section 1.
President:
A. Shall preside
at all general and executive meetings of BCRW.
B. Shall appoint standing
and/or other committees as deemed necessary. Shall be a member of all committees except the Nominating Committee.
C. Shall attend State and District
meetings with OFRW registration package
and lodging paid by BCRW. This obligation does not apply to National Conventions.
D. To co-sign
checks with the
Treasurer and Recording Secretary.
Section 2. First Vice-President(s):
A. Perform all
duties of the President in
her absence.
B. Assist with
club retention and
development.
C. Act as
chairperson of the program
committee.
Section 3. Second Vice-President(s):
A
. Perform the duties of the
President and First Vice-President(s) in their absence.
B. Serve as chairperson of the
newsletter committee.
Section
4.
Recording Secretary(s):
A. Record the
minutes of all meetings of
BCRW, prepare and send minutes to the body from which they originated
within 15
days unless ordered otherwise.
B. Perform such
duties as may be
assigned by the President.
C. Be the second signature on
instruments if required in the absence of the Treasurer(s)
and President.
D.
Be the historian of the club.
Section 5. Corresponding Secretary(s):
A. Conduct all
correspondence of BCRW as
requested by the President.
Include
invitations to speakers and acknowledgements.
B. Chair the greeters committee for
general and executive meetings of BCRW.
C. Keep a current list of nametags for
members and have nametags available at the general meetings.
Section 6. Treasurer(s):
A. Be custodian of all funds of BCRW,
collecting and depositing in the BCRW
bank account.
B. Co-sign checks
with the President or
Recording Secretary(s).
C. Disburse funds as directed by the
Executive Committee.
D. Keep an accurate account of all
receipts and disbursements.
E. Attend and give a detailed written
report at all meetings.
F. Prepare
financial reports and
budgets
G. Submit the books for audit at the end
of each calendar year.
H. Facilitate the
collection of luncheon
checks or cash and provide payment to the
provider.
Article
VII. Meetings.
Section 1. The general meeting shall be the fourth
Monday of each month
unless otherwise stated.
Section 2. Have a general meeting for members and guest at
least five times each year.
Section 3. A quorum at a general meeting shall consist
of ten members
in good standing.
Section 4. The
Executive Committee:
A.
Shall consist of the elected officers: President, First
Vice- President(s), Second Vice-President(s), Secretary(s), Treasurer(s)
and
Immediate Past President. If
needed, there can be co- officers in each position except for the
President.
B. The Executive Committee shall have the power
to transact any
necessary business between
meetings, to make policy recommendations.
Article VIII. Nominations and elections.
Section 1. A nominating committee consisting of no
fewer than
three members shall be elected by the Executive Committee no later than
January
of each odd year. The chairperson of the Nominating Committee will be
one of
its members;
Section 2. The proposed slate of officers shall be
presented in
the October general meeting. Nominations from the floor will be
entertained.
Section 3.
The final slate of officers will
be presented in the BCRW newsletter two weeks prior to the November
meeting.
Section 4. Election
of officers will be in November and the new officers
will be installed at the December general meeting. New officers will take office
in
January.
Article IX. Endorsement of Candidates.
Section 1. No
Republican candidate for public
office (local state, or national) shall be Endorsed
or opposed by the President of BCRW or the Executive board until after
the
primary election.
Article X. Standing Committees.
Section 1. Standing
Committee
chairpersons shall be appointed by the President as deemed necessary to
promote BCRW
objectives and carry out the work of BCRW. They shall include
the following:

Legislation and Research.*
E. Web Site Administrator.
F. Historian.
G. Membership.*
H. Newsletter.
I. Program.*
J. Public Relations and Publicity.*
K. Caring For America.
L. Chaplain.
M. Awards.
N. Parliamentarian.
*Mandated by NFRW
Article XI.
Amendments.
BCRW bylaws may
be amended
by a two-thirds vote of those in attendance at a regular meeting.
Notice of the proposed amendments must
be given to all members at least thirty days prior to the meeting.
Article XII. By-laws.
BCRW
adopts the State and National Federation By-laws and Standing Rules as
close as
possible. In the event of conflict, the State and National By-laws will
supersede the club by-laws.
Article
XIII. Parliamentary Authority.
Robert’s
Rules of Order, Newly Revised shall govern all proceedings not covered
by the bylaws
of the organization.
Article
XIV.
Dissolution.
In the event of dissolution of this organization, all of its assets remaining after payments of all costs and expenses of such dissolution shall be distributed to the National Federation of Republican Women. No funds shall inure to the benefit of any member.
